Terms and Conditions

Lanexis Private Limited · Last Updated: 29 September 2026

1. Portal operator, scope and acceptance

These Terms and Conditions ("Terms") govern access to and use of the Lanexis customer portal at customer.lanexis.com and its associated mobile application (together, the "Service"). Lanexis Private Limited, India ("Lanexis", "we", "us" or the "Portal Operator"), operates the Service and is the sole contracting party providing portal access under these Terms.

The Service is intended for authorised business use. By selecting "I agree" or otherwise expressly accepting these Terms through the Service, you agree to them. If you accept on behalf of a business, you represent that you have authority to bind that business. References to "you" include the individual user and, where validly represented, that business. Do not accept on behalf of a business without authority. If you do not agree, do not use the Service.

2. Separate sellers and commercial relationships

The Service may display records relating to transactions with separate selling entities, including affiliated companies. The legal entity identified as seller in the applicable sales agreement or accepted order is the "Seller" for that transaction.

Each sale remains a transaction with its Seller. Displaying, hosting or administratively processing the Seller's records does not, by itself, make that Seller a party to these portal Terms or a guarantor of the Portal Operator's performance. It does not make the Portal Operator a party to, or guarantor of, a separate Seller's supply obligations.

Shared ownership, branding, personnel, systems or administrative support does not, by itself, create a partnership, joint obligation, guarantee, or authority for one entity to bind another. Each entity remains responsible for its own express commitments and obligations imposed by applicable law. Nothing in these Terms excludes responsibility for an entity's own conduct.

3. Eligibility, accounts and access security

Users must be at least 18 years old and authorised business representatives. Accounts may be established by Lanexis or an authorised administrator of your organisation. Access rights depend on the user's assigned role and company relationship.

Provide accurate business contact information, keep it current, safeguard your credentials and use only your assigned account. Do not share passwords or use another person's account. You are responsible for activities you undertake or authorise; this does not make you responsible for unauthorised activity caused by our failure to meet an applicable obligation.

Notify us promptly of suspected unauthorised access and when a user's business authority ends. Your organisation is responsible for identifying its authorised users and requesting appropriate access changes. We may verify identity and authority before granting or changing access.

4. Permitted use, confidentiality and intellectual property

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service for your authorised business relationship and to download documents made available to you for that purpose. The Service, its software, design, trademarks and protected materials remain owned by their respective owners.

Keep non-public pricing, discounts, account information, drawings and other confidential materials secure. Share them only with authorised personnel and advisers who need them for the relevant business purpose and are subject to appropriate confidentiality duties. Approved public product literature may be used for authorised sales and distribution activities without misrepresentation or removal of required notices.

Confidentiality restrictions do not prevent disclosures required by law, lawful reports to regulators, exercise of legal rights, or use of information independently obtained without a duty of confidence. Where lawful, give advance notice of a compelled disclosure and limit it to what is required.

Do not access other customers' records, bypass access controls, introduce malware, disrupt the Service, upload unlawful or infringing content, impersonate another person, or scrape or bulk-extract information without written permission. Do not reverse engineer or circumvent technical protections except to the extent applicable law expressly permits it. Report any accidental access to another customer's information and do not use or distribute it.

5. Orders, quotations, prices and transaction records

These Terms govern portal access, not the substantive terms of a sale. Each transaction is governed by the applicable supply agreement, accepted order and commercial terms agreed with its Seller. Those documents determine payment, delivery, specifications, warranties, remedies and liability for the goods or separately contracted services.

Uploading or receiving a customer purchase order, displaying a status, or issuing an automated acknowledgement does not, by itself, accept the order or the customer's standard purchasing conditions. Mere use of the Service is not assent to additional or inconsistent purchasing conditions. Any express acceptance of such conditions must come from an authorised representative of the Seller. This provision does not alter terms already binding under an existing agreement or applicable law.

Quotations remain subject to their stated validity and conditions. Portal summaries, price lists and status indicators may be updated periodically and may not reflect real-time inventory, shipment, payment or account information. Report discrepancies promptly and obtain confirmation from the Seller before relying on a summary for a material decision.

Displaying a document or status does not, by itself, amend a contract, waive a payment obligation, settle an account or change agreed document precedence. A portal summary does not replace the underlying transaction document. Changes to payment instructions should be verified independently with a known, authorised contact of the Seller.

6. Technical information and product materials

General product literature, typical test results, temperature ratings, illustrations, training materials and indicative calculations are provided for general technical and commercial reference. They do not, by themselves, constitute a project-specific design, installation instruction or guarantee of suitability or performance.

Obtain current approved technical and safety documents and any necessary application-specific recommendations before selecting products, designing, installing, commissioning or operating equipment. The Service is not an emergency, process-control or safety-monitoring system.

This section does not override an expressly agreed specification, warranty, technical undertaking or mandatory legal obligation. Product-sale claims remain governed by the relevant supply agreement and applicable law.

7. Customer content

You retain ownership of content you provide. You grant the Portal Operator a limited, non-exclusive licence to receive, store, reproduce, process and display it as reasonably necessary to operate the Service, administer the relevant relationship, support transactions and comply with law.

For those purposes, we may make content available to the relevant Seller, authorised users of your organisation and service providers acting on appropriate instructions. This permission does not allow unrestricted publication, sale of personal information or unrelated use of confidential content.

Provide only content you are authorised to disclose and that is relevant to the business purpose. Avoid unnecessary personal or sensitive information. Our handling of personal information is subject to the Privacy Policy and applicable law; content permissions do not waive individual privacy rights.

8. Privacy and electronic communications

The Privacy Policy explains collection, use, disclosure, retention and individual choices. The Account Deletion page explains the request process. Acceptance of these Terms does not substitute for separate consent where required or authorise unrelated processing.

We may send account, security, transaction and service notices to the contact details associated with your account. Optional marketing is subject to applicable notice, consent and opt-out requirements. Electronic records of acceptance may be retained to establish the applicable version of these Terms.

9. Availability, changes and external services

We aim to maintain the Service but do not promise uninterrupted or error-free access, a particular uptime, or compatibility with every device. Maintenance, security measures, third-party outages and events beyond reasonable control may interrupt access. We will give reasonable notice of material planned changes where practicable and take reasonable steps to restore affected functions.

External websites or services that you choose to access may have separate terms and policies. A link does not constitute an endorsement. This does not remove our obligations for providers we appoint to process information or operate the Service on our behalf.

App-store and device-platform terms may apply separately to downloading or using the application. These Terms do not replace a platform licence that applies to the app or amend an agreement to which the Portal Operator is not a party.

10. Suspension, termination and account deletion

We may restrict or suspend access where reasonably necessary to address a material breach, suspected misuse, a security risk, loss of business authorisation or a legal requirement. Where appropriate and practicable, we will explain the reason and provide an opportunity to resolve the issue. Immediate action may be necessary for security or legal reasons.

You may stop using the Service and request deletion as described on the Account Deletion page. Deleting an individual account does not cancel an accepted order, terminate a separate supply agreement, release payment obligations or extinguish existing rights and claims.

Deletion is not conditional on payment of outstanding invoices or nomination of a replacement user. Lawfully necessary transaction and security records may be retained separately as explained in the Privacy Policy. Provisions that by their nature should survive termination continue to apply, subject to applicable law.

11. Service disclaimer and limitation of liability

Except for express commitments in these Terms and obligations that cannot lawfully be excluded, the Service is provided "as is" and "as available". To the maximum extent permitted by law, the Portal Operator disclaims implied warranties relating solely to portal access, including merchantability, fitness for a particular purpose and non-infringement.

To the maximum extent permitted by law, the Portal Operator shall not be liable for indirect, incidental, special or consequential loss arising from access to or use of the Service, including consequential loss of profits, revenue, production, business opportunities or business continuity.

Subject to the exceptions below, the Portal Operator's aggregate liability to you and the business you represent for claims arising from access to or use of the Service shall not exceed the greater of INR 25,000 and the fees paid specifically for access to the Service during the twelve months preceding the event giving rise to the claim. Payments for goods or separately contracted services are not portal-access fees. The cap is aggregate, not per user or per claim.

These exclusions and limitations do not apply to fraud, wilful misconduct, gross negligence, or liability that cannot lawfully be excluded or limited. They do not waive non-waivable privacy or statutory rights or restrict regulatory powers. This section applies to portal-use claims only; it does not replace the provisions governing goods or services under a separate supply agreement.

12. Indemnity for unlawful use and customer content

To the extent permitted by law, the business validly accepting these Terms shall indemnify the Portal Operator and its officers and employees acting within their duties against third-party claims, resulting damages and reasonable legal costs to the extent caused by that business's unlawful use of the Service, infringing content it supplies, or deliberate unauthorised access or interference.

This indemnity does not apply to the extent a claim results from the negligence, misconduct or breach of obligation of the party seeking indemnity. It does not apply merely because a person exercises a privacy right, reports a concern or raises a legitimate complaint.

The indemnified party shall provide reasonably prompt notice and reasonable cooperation. The indemnifying business may control the defence through competent counsel but may not settle on terms imposing an admission, non-monetary obligation or unreimbursed payment on the indemnified party without its written consent.

13. Governing law and exclusive jurisdiction

These Terms, and contractual disputes arising from or relating to access to or use of the Service, are governed by the laws of India. Subject to mandatory applicable law, the courts of competent jurisdiction at New Delhi, India shall have exclusive jurisdiction over those disputes, and the parties submit to that jurisdiction.

This clause concerns the portal relationship only. It does not amend the dispute-resolution provisions of a separate sales or supply agreement. It does not restrict a regulator's powers, non-waivable statutory remedies, or access to a forum or authority that mandatory law requires to be available.

14. Updates and general provisions

We may revise these Terms and will identify the updated version by its date. Material changes will be brought to your attention through an appropriate service notice, and renewed acceptance will be requested where required. Changes do not retrospectively amend an accepted sale or extinguish accrued rights.

If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. Failure to enforce a provision is not a waiver. These Terms govern the portal relationship together with any written agreement expressly modifying that relationship; they do not replace separate supply agreements. No statement here authorises a user or an affiliate to bind the Portal Operator without authority.

15. Contact and related policies
